ARTICLE 6:Officers, Executive Director, Employees and Volunteers (Continued)
Section 6.8 Vice President.
The Vice President will perform all duties and exercise all
powers of the President when the President is unable to act. The Vice President will perform
such other duties as may be prescribed from time to time by the Executive Committee or the
Board of Directors.
Section 6.9 Secretary.
The Secretary will keep minutes of all meetings of the Board of Directors
and the Executive Committee, will be the custodian of the organization�s records, will give all
notices as are required by law or by these Bylaws, and, generally, will perform all duties incident
to the office of Secretary and such other duties as may be required by law, or by these Bylaws, or
which may be assigned from time to time by the Executive Committee or Board of Directors.
Section 6.10 Treasurer.
The Treasurer will have charge and custody of all funds of this Association,
will deposit the funds as required by the Board of Directors or Executive Committee, will keep and
maintain adequate and correct accounts of the Association's properties and business transactions,
will provide budgets for ratification, will render reports and accountings to the Directors and to
the Executive Committee, and will perform in general all duties incident to the office of Treasurer
and such other duties as may be required by law, by the Articles of Incorporation, or by these Bylaws,
or which may be assigned from time to time by the Executive Committee or the Board of Directors.
Section 6.11 Director membership Services.
The Director of Membership is responsible for sustaining
and increasing membership of the Association. Additionally the duties of the directorship will include:
. Conducting Member Surveys
. Maintaining a list of current membership and the respective category of membership
. Monitoring and follow up outstanding dues
. Conducting Membership drives
. Distribution of Proxies and tallying of member votes
. Celebrating special occasion of members
Section 6.12 Director Special Events planning.
The director of Special Events Planning is responsible
for all aspects of event planning. Specific Goals and Responsibilities:
. Drive visibility & garner support to ensure maximum opportunity for member and community partnership
. Support membership & fund-raising initiatives for benefit of the of the Alumni
. Provide opportunity for social interaction and networking
Section 6.13 Director of Communications.
The Director of Communication is responsible for the timely
dissemination of information both to and from the Chapter membership, the Schools and the other Alumni Chapters.
The position also includes publicity of the Chapter to internal and external Alumni via the Internet, phone and the mail.
Specific Responsibilities:
. Ensure that the Chapter�s Website is kept up to date on all news and events relating to the Chapter and also the Schools
wherever possible.
. Provide the membership notification of all Chapter meetings not less than five (5) days prior to the meeting.
. Distribute Chapter�s Newsletter to the Chapter membership.
. Maintain and deliver all permanent records to the position successor as required.
. Ensure that all the necessary tools are in place for effective communication overall.
Section 6.14 Vacancies.
Resignation of an Officer will become effective immediately or on the date
specified therein and a vacancy will be deemed to exist as of such effective date. Any vacancy, whether by
resignation, removal, incapacity, death or otherwise, shall be filled by majority vote of the Board of Directors.
The new Officer elected to fill the vacancy will serve for the unexpired term of the predecessor in office.
Section 6.15 Removal of Officers.
Any Officer elected or appointed to office may be removed by an affirmative
vote of at least two-thirds (2/3) of all Directors, whenever in their judgment the best interests of the Association
will be served.
Section 6.16 Compensation.
The Association shall pay no compensation to the Officers for their services as Officers of
the Association. The Board of Directors may authorize payment for reasonable out-of-pocket expenses resulting from performances
of such services. No Officer shall be prevented from receiving compensation for other services to the Association by reason of
the fact that he or she is an Officer of the Association.
