ARTICLE 7:Committees

Section 7.1 Appointment of Committees.
The Board of Directors or the Executive Committee, if any, may designate and appoint one or more Committees and delegate to such Committees specific and prescribed authority. There may be standing committees and/or ad hoc committees, and each committee may become active and staffed on an as-needed basis; ad hoc committees also may be designated by the President as he or she deems appropriate for the year of his or her tenure. Committee chairmen shall be appointed by the President of the Association or by the Executive Committee, if any. The President, Executive Committee or committee chairman shall select members of each committee. Each committee may have at least two (2) or more members who serve at the pleasure of the Board of Directors. However, no such Committee will have the authority of the Board of Directors or Executive Committee in reference to effecting any of the following:
1) Filling of vacancies in the Board of Directors or Executive Committee or other committees.
2) Adoption, amendment or repeal of the Bylaws.
3) Adoption, amendment or repeal of any resolution of the Board of Directors or Executive Committee.
4) Action on matters committed by the Bylaws or resolution of the Board of Directors or Executive Committee to another Committee.

Section 7.2 Notice of Committee meetings.
Board of Directors and Committee members are to receive notice of meetings of all committees ten (10) days prior to an upcoming meeting.

Section 7.3 Minutes of Committee meetings.
Minutes of all Committee meetings are to be made available to all Board of Directors and the minutes of the Board of Directors are to be made available to all association members.

Section 7.4 Actions by Committee Without a Meeting.
Action required or permitted to be taken at a committee meeting may be taken without a meeting if the action is taken by all of the committee members. The action must be evidenced by one or more written consents describing the action taken and signed by each committee member. Any such written consent shall be filed with or entered upon the records of the Association. A consent signed under this section has the effect of a meeting vote and may be described as such in any document. Action taken under this section is effective when the last committee member signs the consent, unless the consent specifies a different effective date. Committee Chairmen must report to the Board of Directors on a regular basis when invited by the President to do so at the board's meetings. Such committee reports shall be entered into the minutes of the board's meetings.
